PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING CARDVAULT COLLECTION INTELLIGENCE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT ACCESS OR USE THE SERVICE.

Welcome to CardVault Collection Intelligence. These Terms of Service ("Terms") govern your access to and use of the CardVault Collection Intelligence platform, website, application, and associated services (collectively, the "Service"). By accessing or using the Service in any manner — including by clicking "I Agree," completing account registration, or simply browsing — you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue all use of the Service. A separate Privacy Policy, available at cardvault-collectionintelligence.com/privacy, governs the collection, use, and disclosure of your personal data and is incorporated herein by reference.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and CardVault Collection Intelligence ("CardVault Collection Intelligence," "we," "us," or "our") with respect to your access to and use of the Service. This agreement is enforceable to the same extent as any written, signed contract.

To create an account and use the Service, you must be at least eighteen (18) years of age, or at least thirteen (13) years of age with the verifiable consent of a parent or legal guardian, where permitted by applicable law. By clicking "I Agree," completing registration, or otherwise accessing the Service, you represent that you meet these age requirements and that you accept these Terms in full, without modification.

CardVault Collection Intelligence reserves the right to update, modify, or replace these Terms at any time at its sole discretion. When material changes are made, CardVault Collection Intelligence will provide reasonable advance notice via email to the address associated with your account or via in-app notification. The updated Terms will be identified by a revised "Last Updated" date at the top of this document. Your continued access to or use of the Service following the delivery of such notice constitutes your binding acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the effective date of the changes.

2. Eligibility

Your eligibility to use the Service is subject to the following requirements, each of which you represent and warrant that you satisfy at all times during your use of the Service:

  1. Age: You must be at least eighteen (18) years of age. Users between the ages of thirteen (13) and seventeen (17) may only access the Service with documented, verifiable consent from a parent or legal guardian, who shall be jointly responsible for compliance with these Terms.
  2. Legal Capacity: You must not be barred from receiving or using the Service under the laws of any applicable jurisdiction, including but not limited to U.S. federal, state, or local law.
  3. Business Accounts: Legal entities, including limited liability companies (LLCs), sole proprietors, resellers, and other business organizations, may register for a business account subject to additional identity and business verification requirements as determined by CardVault Collection Intelligence.
  4. Geographic Restrictions: Users located in jurisdictions where access to or use of the Service is prohibited, restricted, or requires regulatory approval are not permitted to use CardVault Collection Intelligence. It is your responsibility to determine whether your use of the Service is lawful in your jurisdiction.
  5. Access Discretion: CardVault Collection Intelligence reserves the right, at its sole discretion and without obligation to provide reasons, to deny, restrict, or revoke access to any individual, organization, or entity.

3. Account Registration and Responsibilities

To access most features of the Service, you must register for an account. By registering, you agree to the following:

  1. Accurate Information: You must provide accurate, current, and complete information during registration and promptly update such information to keep it accurate, current, and complete at all times.
  2. Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your account username, password, and any other access credentials. You agree not to share your login credentials with any third party.
  3. Unauthorized Access: You must notify CardVault Collection Intelligence immediately at the in-app Support form if you become aware of or suspect any unauthorized access to or use of your account or credentials.
  4. One Account Per Person: Each natural person may maintain only one (1) individual account. Account sharing, account transfer, or the creation of multiple accounts to circumvent restrictions is prohibited without CardVault Collection Intelligence's prior written consent.
  5. Account Activity: You are responsible and liable for all activity that occurs under your account, whether or not you authorized such activity.
  6. Limitation of CardVault Collection Intelligence Liability: CardVault Collection Intelligence is not liable for any loss, damage, or harm arising from unauthorized access to your account resulting from your failure to maintain the security of your credentials or to comply with these Terms.

4. Acceptable Use Policy

The Service is provided solely for lawful purposes related to managing, cataloging, valuing, and listing personal or business collectibles and trading cards. You agree to use the Service only in a manner consistent with these Terms and all applicable federal, state, local, and international laws and regulations.

The following activities are expressly prohibited. You agree not to:

  1. Upload, submit, or transmit false, misleading, fabricated, or fraudulent collectible data, item descriptions, or valuations;
  2. Attempt to reverse-engineer, decompile, disassemble, scrape, copy, or otherwise extract any portion of CardVault Collection Intelligence's AI models, algorithms, proprietary software, or underlying data infrastructure;
  3. Use the Service to list, market, sell, or facilitate the sale of counterfeit, stolen, fraudulently obtained, or otherwise illegal items;
  4. Interfere with, disrupt, or damage the integrity, performance, or availability of the Service, including its servers, networks, or associated infrastructure;
  5. Circumvent, bypass, or exploit any mechanism related to subscription payment obligations, feature access controls, or access limitations;
  6. Harvest, collect, scrape, or otherwise obtain personal information or data belonging to other users of the Service;
  7. Use automated bots, scrapers, scripts, crawlers, or other automated access tools to interact with the Service without CardVault Collection Intelligence's express prior written authorization; or
  8. Engage in any activity that violates eBay's User Agreement, Marketplace Policies, Seller Policies, or Developer Program Agreement when using CardVault Collection Intelligence's eBay Integration.

CardVault Collection Intelligence reserves the right to monitor usage of the Service for compliance with these Terms and applicable law. CardVault Collection Intelligence may, in its sole discretion, suspend or terminate any account found to be in violation of this Acceptable Use Policy, without prior notice and without liability.

5. Intellectual Property

CardVault Collection Intelligence's Property. All content, software, technology, trademarks, service marks, trade names, logos, artificial intelligence models, machine learning algorithms, platform design elements, databases, documentation, and other materials made available through the Service (collectively, "CardVault Collection Intelligence Content") are the exclusive property of CardVault Collection Intelligence or its licensors. CardVault Collection Intelligence Content is protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws. No rights are granted to you in CardVault Collection Intelligence Content except as expressly set forth in these Terms.

User Content. You retain all ownership rights in the collection data, inventory records, images, descriptions, and other content that you upload, submit, or transmit through the Service ("User Content"). By submitting User Content, you grant CardVault Collection Intelligence a non-exclusive, royalty-free, worldwide, sublicensable license to store, reproduce, process, display, transmit, and analyze your User Content solely to the extent necessary to provide the Service to you. In addition, CardVault Collection Intelligence may use User Content in aggregate, anonymized, and de-identified form for the purpose of improving AI model performance and platform analytics, subject to your opt-out rights as described in the Privacy Policy. You represent and warrant that you hold all rights, licenses, and permissions necessary to submit User Content and to grant the foregoing license.

AI-Generated Outputs. Pricing estimates, collection valuations, market trend reports, listing recommendations, and other outputs generated by the Service's AI features ("AI Outputs") are delivered to you as a component of the Service. CardVault Collection Intelligence grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use AI Outputs for your personal collection management or internal business purposes only. Resale, redistribution, publication, or commercial exploitation of AI Outputs without CardVault Collection Intelligence's express prior written consent is strictly prohibited.

No Transfer of Rights. Nothing in these Terms shall be construed to transfer, convey, assign, or sublicense any CardVault Collection Intelligence intellectual property rights to you. All rights not expressly granted herein are reserved by CardVault Collection Intelligence.

6. Privacy Overview

CardVault Collection Intelligence is committed to protecting your personal data. The collection, use, storage, and disclosure of your information is governed by CardVault Collection Intelligence's Privacy Policy, which is incorporated into these Terms by reference and is available at cardvault-collectionintelligence.com/privacy. By using the Service, you consent to the data practices described in the Privacy Policy.

The Service may collect and process the following categories of data:

  1. Account registration data (name, email address, username);
  2. Collection inventory data uploaded by you;
  3. Device identifiers, IP addresses, browser type, and usage activity data;
  4. Payment information, which is processed exclusively by our third-party payment processors and is not stored in full by CardVault Collection Intelligence; and
  5. eBay account OAuth tokens, for users who connect their eBay seller accounts.

We Do Not Sell Your Information. CardVault Collection Intelligence does not sell, rent, or share your personal data or collection data to third parties for advertising or marketing purposes — period. Your collection records, photos, grades, valuations, and account information remain private and under your control at all times.

You retain the right to access, correct, export, and request deletion of your personal data, subject to applicable legal obligations, as further described in the Privacy Policy. CardVault Collection Intelligence employs industry-standard administrative, technical, and physical security measures to protect your data; however, no method of electronic transmission or storage is completely secure, and CardVault Collection Intelligence cannot guarantee absolute data security.

Payment Security. CardVault Collection Intelligence takes the security of your payment information seriously. All payment transactions are processed through Base44 Payments, a PCI-DSS compliant payment platform powered by Wix. CardVault Collection Intelligence never collects, stores, or has access to your full credit card number, card verification value (CVV), or other sensitive financial credentials. Payment data is transmitted over encrypted, industry-standard TLS (Transport Layer Security) connections and tokenized at the processor level, meaning your raw card details are handled exclusively by the certified payment infrastructure — never by CardVault Collection Intelligence's servers. This approach ensures that your financial information is protected by the same level of encryption and security compliance trusted by major e-commerce platforms worldwide.

7. AI-Generated Insights and Disclaimers

CardVault Collection Intelligence uses artificial intelligence and machine learning technologies to generate pricing estimates, collection valuations, market trend analyses, listing recommendations, and other data-driven insights (collectively, "AI Insights"). Please read this section carefully before relying on any AI Insight for any purpose.

AI INSIGHTS ARE PROVIDED FOR INFORMATIONAL AND CONVENIENCE PURPOSES ONLY. THEY DO NOT CONSTITUTE, AND SHALL NOT BE CONSTRUED AS, FINANCIAL ADVICE, INVESTMENT ADVICE, PROFESSIONAL APPRAISAL OPINIONS, TAX ADVICE, INSURANCE VALUATION, OR ANY OTHER FORM OF PROFESSIONAL OR EXPERT ADVICE.

AI INSIGHTS ARE BASED ON HISTORICAL MARKET DATA, ALGORITHMIC MODELING, AND PUBLICLY AVAILABLE PRICE INFORMATION, WHICH MAY BE INCOMPLETE, OUT-OF-DATE, UNVERIFIED, OR OTHERWISE INACCURATE. ACTUAL MARKET VALUES FOR COLLECTIBLES MAY DIFFER MATERIALLY FROM AI-GENERATED ESTIMATES.

CARDVAULT COLLECTION INTELLIGENCE EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, TIMELINESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF AI INSIGHTS.

AI OUTPUTS MAY OCCASIONALLY CONTAIN ERRORS, ANOMALOUS RESULTS, OR ALGORITHMICALLY GENERATED CONTENT THAT IS INACCURATE OR MISLEADING ("HALLUCINATIONS"). CARDVAULT COLLECTION INTELLIGENCE PROVIDES NO GUARANTEE OF CONSISTENT, ERROR-FREE AI PERFORMANCE.

You assume full and sole responsibility for any decisions made in reliance upon AI Insights, including but not limited to decisions to buy, sell, trade, insure, donate, appraise, or otherwise transact with respect to any collectible or other item.

The use of AI Insights for professional appraisals, certified valuations, tax filings, insurance claims, legal proceedings, estate valuations, or similar purposes is expressly prohibited without independent verification by a qualified, licensed professional.

CardVault Collection Intelligence reserves the right, at any time and without prior notice, to update, modify, retrain, replace, or discontinue any AI model, algorithm, or feature used to generate AI Insights.

8. Data Accuracy Limitations

The collectibles market data integrated into the Service is sourced from a combination of third-party data providers, public online marketplaces, published price guides, and user-submitted content. All such data is provided on an "as is" and "as available" basis.

CardVault Collection Intelligence makes no representations, warranties, or guarantees, express or implied, that any pricing data, condition grading estimates, population reports, rarity assessments, or market trend information accessible through the Service is:

  1. Accurate, complete, or free from error;
  2. Current or updated in real time;
  3. Suitable or appropriate for any particular use or purpose; or
  4. Consistent with actual marketplace prices or outcomes.

You acknowledge and agree that collectibles valuations are inherently subjective and market-dependent, and that actual sale prices for individual items may vary significantly — in either direction — from any estimate provided by the Service. CardVault Collection Intelligence is not responsible for any discrepancy between data displayed on the platform and the results of actual marketplace transactions.

You are strongly encouraged to independently verify all material data before making any significant financial, legal, or insurance-related decisions based on information obtained through the Service.

9. eBay Auto-Listing Integration

CardVault Collection Intelligence offers an eBay Auto-Listing feature ("eBay Integration") that enables users to create and publish item listings directly to their eBay seller accounts through the eBay Developer API.

Account Authorization. To use the eBay Integration, you must connect your eBay seller account to CardVault Collection Intelligence and authorize CardVault Collection Intelligence to act on your behalf via an OAuth access token issued by eBay. You may revoke this authorization at any time through your CardVault Collection Intelligence account settings or through eBay's account authorization management interface.

User Responsibility for Listings. Notwithstanding any assistance provided by CardVault Collection Intelligence's AI features, you remain solely and exclusively responsible for all listings published to eBay through the Integration, including full compliance with:

  1. eBay's User Agreement, Seller Policies, Listing Policies, and all other applicable eBay platform rules and guidelines;
  2. All applicable federal, state, local, and international laws governing the offer for sale and sale of goods, including consumer protection laws, sales tax obligations, and regulations specific to particular categories of collectibles;
  3. The accuracy of all item titles, descriptions, condition disclosures, photographs, and pricing; and
  4. The resolution of all buyer disputes, return requests, claims, and eBay case decisions arising from listings created through the Integration.
CARDVAULT COLLECTION INTELLIGENCE DOES NOT GUARANTEE SUCCESSFUL LISTING PUBLICATION AND IS NOT LIABLE FOR eBay ACCOUNT RESTRICTIONS, LISTING ERRORS, DEFECTS, API DOWNTIME, INTEGRATION FAILURES, OR POLICY VIOLATIONS ARISING FROM YOUR USE OF THE eBay INTEGRATION. AUTO-LISTING AI SUGGESTIONS — INCLUDING TITLE OPTIMIZATION, CATEGORY SELECTION, AND PRICING RECOMMENDATIONS — ARE ADVISORY ONLY AND DO NOT CONSTITUTE A GUARANTEE OF MARKETPLACE OUTCOMES.

CardVault Collection Intelligence may, at any time and without liability to you, modify, suspend, or permanently discontinue the eBay Integration, including in response to changes to eBay's Developer Program Agreement, API terms, or platform policies.

You acknowledge that eBay's platform is independently operated and that CardVault Collection Intelligence has no control over eBay's policies, seller performance standards, fee structures, or enforcement actions. eBay's terms and conditions govern all activity on the eBay platform.

10. Subscription Plans and Payment

CardVault Collection Intelligence offers the following subscription plans as described on the Pricing page at cardvault-collectionintelligence.com/pricing:

  1. Free Tier: Users may scan their first 5 cards at no cost. No credit card is required. After 5 scans, users must upgrade to a paid plan to continue scanning.
  2. Pro (Monthly): $8.99 per month, billed monthly.
  3. Pro (Annual): $89.90 per year, billed annually.
  4. Billing Cycle: Paid subscriptions are billed in advance on either a monthly or annual cycle, as selected at checkout.
  5. Currency and Non-Refundability: All subscription fees are stated in United States Dollars (USD) and are non-refundable, except as expressly provided in the Refund Policy below or as required by applicable law.
  6. Refund Policy: Users who cancel their paid subscription within seven (7) days of their initial first-time paid subscription purchase may request a pro-rated refund for the unused portion of the billing period. This 7-day refund window applies to first-time subscribers only and does not apply to subscription renewals, plan upgrades, or subsequent billing periods.
  7. Auto-Renewal: All paid subscriptions automatically renew at the conclusion of each billing period at the then-current subscription rate. CardVault Collection Intelligence will provide renewal notice at least seven (7) days prior to the renewal date. Users may cancel auto-renewal at any time through account settings; cancellation takes effect at the end of the current paid billing period, and access to paid features continues through the end of that period.
  8. Payment Information: Users must maintain valid payment information on file during an active paid subscription. CardVault Collection Intelligence may suspend or downgrade access to paid features following reasonable notice of a failed payment attempt.
  9. Price Changes: CardVault Collection Intelligence reserves the right to modify subscription pricing with at least thirty (30) days advance notice. Continued use of the Service following the effective date of a pricing change constitutes acceptance of the new pricing.

11. Termination

Termination by User. You may terminate your CardVault Collection Intelligence account at any time by using the account deletion feature within your account settings or by submitting a written request to CardVault Collection Intelligence support at the in-app Support form. Termination of your account does not entitle you to a refund of any prepaid subscription fees, except as provided in Section 10(c) above.

Termination by CardVault Collection Intelligence. CardVault Collection Intelligence may suspend or terminate your account and your access to the Service, immediately and without prior notice, upon the occurrence of any of the following:

  1. A material breach of any provision of these Terms;
  2. Engagement in fraudulent, abusive, deceptive, or illegal activity in connection with the Service;
  3. Non-payment of subscription fees following reasonable notice; or
  4. Conduct that, in CardVault Collection Intelligence's reasonable judgment, poses a security risk to the platform, other users, or third parties.

Effect of Termination. Upon termination of your account, your license to use the Service ceases immediately. CardVault Collection Intelligence may retain your User Content for a period of up to thirty (30) calendar days following termination, after which it may be permanently deleted, subject to any applicable legal hold obligations or statutory retention requirements.

Survival. The following sections shall survive the termination or expiration of these Terms for any reason: Section 5 (Intellectual Property), Section 7 (AI-Generated Insights and Disclaimers), Section 12 (Disclaimer of Warranties), Section 13 (Limitation of Liability), Section 14 (Indemnification), Section 16 (Governing Law and Dispute Resolution), and Section 17 (Miscellaneous).

12. Disclaimer of Warranties

THE SERVICE — INCLUDING ALL CONTENT, AI INSIGHTS, PLATFORM FEATURES, DATA, AND INTEGRATIONS — IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CARDVAULT COLLECTION INTELLIGENCE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

(A) IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE;

(B) IMPLIED WARRANTIES OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS;

(C) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;

(D) WARRANTIES THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS; AND

(E) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY CONTENT, AI INSIGHTS, PRICING DATA, OR OTHER INFORMATION ACCESSIBLE THROUGH THE SERVICE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES. IF SUCH LAWS APPLY TO YOU, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY IN FULL, AND YOU MAY HAVE ADDITIONAL RIGHTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CARDVAULT COLLECTION INTELLIGENCE, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, SUCCESSORS, AND SERVICE PROVIDERS (COLLECTIVELY, THE "CARDVAULT COLLECTION INTELLIGENCE PARTIES") SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

(A) LOSS OF PROFITS, REVENUE, OR ANTICIPATED SAVINGS;

(B) LOSS OR CORRUPTION OF DATA, COLLECTION RECORDS, OR USER CONTENT;

(C) LOSS OF GOODWILL OR BUSINESS REPUTATION;

(D) LOSS OF COLLECTIBLE VALUE OR MARKET OPPORTUNITY; OR

(E) LOSS OF BUSINESS CONTRACTS OR OPPORTUNITIES;

ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CARDVAULT COLLECTION INTELLIGENCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

CARDVAULT COLLECTION INTELLIGENCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO CARDVAULT COLLECTION INTELLIGENCE IN THE TWELVE (12) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL AND MATERIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN CARDVAULT COLLECTION INTELLIGENCE AND YOU. THE SERVICE WOULD NOT BE OFFERED OR MADE AVAILABLE ON THE TERMS HEREIN WITHOUT THESE LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, AND THIS LIMITATION MAY NOT APPLY TO YOU IN FULL.

14. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend (at CardVault Collection Intelligence's option), and hold harmless CardVault Collection Intelligence and the CardVault Collection Intelligence Parties from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, settlements, judgments, costs, and expenses (including reasonable attorneys' fees and legal costs) asserted by any third party and arising out of or relating to:

  1. Your access to or use of the Service in any manner that violates these Terms or any applicable law;
  2. Any User Content uploaded, submitted, or transmitted by you through the Service, including any claim that your User Content infringes any third-party intellectual property or privacy rights;
  3. Any listing published to eBay through the eBay Integration, including any buyer claim, dispute, or regulatory action arising therefrom;
  4. Your violation of any third-party rights, including eBay's User Agreement, Seller Policies, or Developer Program Agreement; or
  5. Your violation of any applicable federal, state, local, or international law or regulation.

CardVault Collection Intelligence reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with CardVault Collection Intelligence in asserting any available defenses.

15. Third-Party Services and Links

The Service integrates with, and may provide links to, third-party websites, platforms, and services, including but not limited to eBay's marketplace and Developer API, third-party payment processors, and collectibles pricing data providers ("Third-Party Services"). These Third-Party Services are independently owned and operated, and are governed by their own terms of service, privacy policies, and other applicable agreements.

CardVault Collection Intelligence is not responsible for, and makes no representations or warranties regarding, the content, accuracy, availability, security, or practices of any Third-Party Service. Your use of any Third-Party Service is at your own risk and is subject to that service's applicable terms.

CardVault Collection Intelligence's integration with the eBay platform is subject to eBay's Developer Program Agreement and may be modified, restricted, or terminated by eBay at eBay's sole discretion. CardVault Collection Intelligence shall not be liable for any impact on your use of the Service resulting from changes to or termination of eBay's API access.

Payment processing services are provided by third-party payment processors. CardVault Collection Intelligence does not collect, store, or have access to your full payment card number, card verification value (CVV), or other sensitive financial credentials. Your payment information is governed by the applicable processor's terms and privacy policy.

16. Governing Law and Dispute Resolution

Governing Law. These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wisconsin, without giving effect to any conflict of law principles that would require the application of the laws of another jurisdiction.

Informal Resolution. Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting CardVault Collection Intelligence at the in-app Support form. The parties shall use good-faith efforts to resolve the dispute within thirty (30) calendar days of CardVault Collection Intelligence's receipt of your written description of the dispute. This informal resolution process is a prerequisite to initiating arbitration.

Binding Arbitration. If informal resolution is unsuccessful, any claim or dispute arising out of or relating to these Terms or the Service — including questions about their existence, validity, interpretation, or enforceability — shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, which are available at adr.org. Arbitration shall be conducted in Shawano County, Wisconsin, or by remote hearing at either party's election. The arbitrator's decision shall be final and binding, and judgment upon the award rendered may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN OR BRING A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING. ALL DISPUTES MUST BE BROUGHT SOLELY ON AN INDIVIDUAL BASIS.

Equitable Relief. Notwithstanding the agreement to arbitrate, either party may seek temporary or permanent injunctive relief or other equitable remedies from any court of competent jurisdiction to prevent or restrain irreparable harm, without waiving the right to arbitrate the underlying dispute.

EU/EEA Users. If you are a resident of a member state of the European Union or the European Economic Area, you may have additional rights under applicable EU consumer protection legislation, including the right to access alternative dispute resolution mechanisms. Nothing in these Terms is intended to limit rights you may have under mandatory provisions of applicable EU law.

17. Miscellaneous

  1. Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and CardVault Collection Intelligence with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to the subject matter hereof.
  2. Severability. If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions of these Terms shall continue in full force and effect.
  3. Waiver. CardVault Collection Intelligence's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision, nor shall it prevent CardVault Collection Intelligence from enforcing such right or provision on any subsequent occasion. No waiver shall be effective unless made in writing and signed by an authorized representative of CardVault Collection Intelligence.
  4. Assignment. CardVault Collection Intelligence may freely assign, transfer, or delegate these Terms or any of its rights or obligations hereunder — including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets — without your consent. You may not assign, transfer, or delegate your rights or obligations under these Terms without CardVault Collection Intelligence's prior written consent. Any purported assignment in violation of this provision is null and void.
  5. Notices. CardVault Collection Intelligence will provide notices to you via email to the address associated with your account, or via in-app notification. It is your responsibility to keep your contact information current. You may provide notice to CardVault Collection Intelligence through the in-app Support form, accessible from the main navigation within your account.
  6. Force Majeure. CardVault Collection Intelligence shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure results from causes beyond CardVault Collection Intelligence's reasonable control, including but not limited to natural disasters, pandemics, acts of government, internet infrastructure failures, third-party API outages, cyberattacks, or other force majeure events. CardVault Collection Intelligence will use commercially reasonable efforts to resume performance as soon as practicable.
  7. Headings. Section headings are included for convenience of reference only and shall not affect the interpretation or construction of these Terms.
  8. No Third-Party Beneficiaries. These Terms are for the sole and exclusive benefit of the parties hereto and are not intended to confer any rights or benefits on any third party.

CardVault Collection Intelligence will respond to verified GDPR requests within the timeframes required by applicable EU law.
